Section 14.01 General Body (GB) Meetings
A GB meeting shall be held at least once a quarter. The Executive Board shall determine if additional GB meetings should be held. The President (or the Vice-President in the absence of the President) shall preside over the GB meetings. In the absence of both the President and Vice-President, any Officer shall preside over the GB meetings, as determined by the Executive Board.
Section 14.02 Quorum
The presence of twenty (20) Voting Members including any two (2) elected Officers at any GB meeting or special meeting shall constitute a quorum to conduct official business. If a quorum is not achieved at a meeting, no decisions can be voted upon; however, the meeting may continue for informational purposes only.
Section 14.03 Special Meetings
Special meetings may be called by a majority of the Executive Board, or a two-thirds (2/3) majority of all of the Voting Members of AHP, provided that notice is given three (3) business days in advance. In order to transact business at such meetings a quorum (as defined in Section 14.02) must be present.
Section 14.04 Notice of Meetings
Notice of GB meetings shall be given not less than seven (7) days in advance of the meeting. Each notice shall specify the date, time, and place of the meeting. In case of a special meeting, the purpose of the meeting must be indicated. Such notice shall be delivered via e-mail, mail, or personal delivery, and the AHP website. The Executive Board shall publish a tentative yearly calendar which shall be made available via the AHP website.
Section 14.05 Duration
All official business shall be transacted within the first three (3) hours.
Section 14.06 Voting
Each Voting Member has one vote. There shall be no voting by proxy. The Executive Board may determine when electronic voting via e-mail or the AHP website and voting by absentee ballot is appropriate.
Section 14.07 Time and Place
Meeting times and places for GB and special meetings shall be determined by the Executive Board.
