Section 4.01 Members

Membership shall be open to any individual, organization or corporation from any state or country that subscribes to the purposes of AHP. Privileges of membership shall include, but are not limited to, receiving information about programs and activities, and participating in programs and activities of AHP.

Section 4.02 Membership

An individual, organization or corporation may become a member of AHP by:

  1. Paying an annual fee as shall be determined by the Board of Directors, and
  2. Fulfilling the requirements set forth in these Bylaws.

Section 4.03 Categories of Membership

A. AHP shall have four (4) categories of members:

  1. General Members;
  2. Honorary General Members;
  3. Associate Members; and
  4. Affiliate Members.

B. The Board of Directors may add new categories of membership and determine their qualifications.

Section 4.04 General Member Qualifications

The qualifications for General Members are as follows:

  1. Have at least one Haitian grandparent;
  2. Be a professional, defined as a holder of (i) any vocational, technical or college degree or certificate received after the completion of high school or its equivalent (ii) or an entrepreneur;
  3. Pay the General (or Student) Membership dues; and
  4. Subscribe to the purposes of AHP.

Section 4.05 Honorary General Member Qualifications

The qualifications for Honorary General Members are as follows:

  1. Have substantial involvement in AHP and the Haitian community, as determined by the Membership committee;
  2. Be an active Associate Member;
  3. Pay the General (or Student) Membership dues; and
  4. Subscribe to the purposes of AHP.

Section 4.06 Associate Member Qualifications

The qualifications for Associate Members are as follows:

  1. Have an interest in Haiti or the Haitian Diaspora;
  2. Pay the Associate (or Student) Membership dues; and
  3. Subscribe to the purposes of AHP.

Section 4.07 Affiliate Member Qualification

A. The qualifications for Affiliate Members are as follows:

  1. Be an active for-profit or nonprofit entity;
  2. Pay the Affiliate Membership dues; and
  3. Subscribe to the purposes of AHP.

B. Profit and nonprofit organizations shall enjoy the same Affiliate Member privileges. A distinction may be made only in membership dues as determined by the Board of Directors.

Section 4.08 Membership Voting

  1. General Members, Associate Members and Honorary General Members shall be entitled to vote and shall be referred to, collectively, as Voting Members¬Ě.
  2. Each Voting Member shall be entitled to one vote.
  3. Affiliate members shall not be entitled to vote.

Section 4.09 Membership Dues

Membership dues shall be determined and reviewed annually by the Board of Directors. Changes in membership dues shall be made upon the recommendation of the Board of Directors and by a simple majority vote of the Voting Members present at any General Body (GB) meeting. Membership dues shall not be refunded in case of resignation or termination. Membership dues shall not be pro-rated in case of partial year membership. A member currently enrolled as a full-time student in an accredited college or university shall be entitled to a discounted membership rate. All other membership dues shall be in accordance with the membership category.

Section 4.10 Membership Applications

The Membership Committee shall create an application for membership and process all applications. Applications for AHP membership must be submitted to the Board of Officers for review and approval. The Membership Committee shall review all applications and recommend acceptance or rejection to the Board of Officers. Upon acceptance, members will be issued a membership card and other membership material as determined by the Membership Committee. If a membership application is rejected, the Membership Committee will return the membership fee remitted with the application.

Section 4.11 Terms of Membership

A. Membership is valid for one (1) calendar year or the remaining months encompassing the AHP fiscal year, as determined by the Board of Directors. Membership will be renewed annually. A member may terminate his/her membership at any time without refund of membership fee.

B. Membership may be terminated upon violation of these Bylaws or any conduct determined by simple majority vote of the Board of Directors and a two-thirds (2/3) majority of the Voting Members present at any General Body (GB) meeting as a major infraction that adversely affects the philosophy and purposes of AHP. Any Voting Member may bring a motion to consider the expulsion of another member for cause. The procedures for Member expulsion shall be governed by the most current version of the Robert's Rules of Order. The member being considered for expulsion shall be invited to attend the meeting where his/her expulsion is being considered, and shall be provided an opportunity to oppose the expulsion. The Board of Officers shall provide notice to the member regarding the decision on expulsion.
